Employee ownership trusts

Our corporate and tax specialists have significant experience in advising and supporting owner managed businesses with transitioning to an Employee Ownership Trust (EOT) structure.

Since being established in 2014, EOTs have become increasingly popular and provide business owners with another potential exit route when considering their succession plans. When implemented correctly a sale to an EOT can improve workplace engagement, ensure company cultures and values are maintained whilst facilitating a tax efficient sale for the shareholders.

The team at Higgs will be able to explain the advantages of a sale to an EOT and whether that is appropriate for you and your business. We are able to advise on the terms of the sale, the associated legal documentation and navigate you and your team through the process. In addition, we advise businesses who have already made the transition to an EOT with their ongoing corporate governance and legal requirements.

Company formation and corporate governance

We can provide advice and guidance on the formation of the right corporate vehicle for your business, and give peace of mind concerning the ongoing administration of your company.

The Companies Act 2006 and many other relevant regulations impose a multitude of duties on the officers of companies. If not complied with, a company could be struck from the register and its directors may be exposed to fines or even imprisonment.

Filing duties for the submission of confirmation statements and accounts are subject to strict deadlines. With the demands of running a company, it is not surprising that these obligations can be overlooked. We provide a range of services at a fixed annual fee for you to select, including statutory register maintenance and compliance services in which we will handle annual filing obligations and deal with changes to company’s officers and other notices to Companies House. We offer a registered office service and we can also act as your company secretary.

Succession planning

We have a wealth of experience in advising and guiding business owners with their succession plans. Our support covers all matters regarding the ownership and management of your company now and in the future and spans the lifetime of a business, from start-up through to exit.

Our work may involve putting a framework in place at the outset of a new venture, revisiting plans as the business enters a new growth phase or implementing a smooth and seamless transfer to the next generation or new owners. We work closely with you, and tailor our advice to your individual circumstances and goals. We understand that no two businesses or families are entirely alike and aim to share our experience and technical knowhow to help business owners understand and evaluate the issues to be considered and options available to them.

It is vitally important to plan early. As retirement or sale approaches there are various legal, financial and commercial factors which will require careful consideration to ensure that the transition of ownership is a success. Our corporate, tax and private client specialists can guide you through the process and ensure that any exit is structured and managed in such way as to ensure that your objectives are achieved, both from a commercial and personal perspective.
