Higgs LLP’s award-winning Corporate team has advised prominent Black Country business Accurate Section Benders – the region’s leading jobbing bender specialist – on the sale of its entire issued share capital to Shilling Mergers Limited, as well as advising on the sale and leaseback, inclusive of the company’s tax structuring.
Accurate Section Benders (ASB) has an enviable reputation for meeting the needs of the fabrication, engineering and construction industries including section bending, plate rolling, press baking and tube bending amongst other services.
Speaking on the latest success, Joel Nixon, Partner at Higgs LLP who led on the deal commented, “It was a pleasure working with the corporate finance team at Dains to support Mick and Nigel through their sale of ASB, a business that had been in their family for 35 years.
“Using our extensive experience in the manufacturing sector, our full-service team demonstrated why we are the leading team in the Midlands in achieving our clients’ objectives in terms of both commercials and timetable. It’s exciting to see how Shilling Mergers Limited will continue to drive the growth of ASB in the years to come.”
Mick Mocroft of Accurate Section Benders said, “The guidance from Higgs and Dains has been invaluable to my brother and me throughout the transaction. With Joel leading on legals and Tom leading on the corporate finance, we knew that we were in safe hands and their respective teams put us at ease with sensible commercial advice when the transaction entered territory that was unfamiliar to us.
“After so many years in the business, the change will take some getting used to, but Nigel and I wish Shilling Mergers Limited all the best and thank them for being pragmatic and demonstrating a keen desire to get the deal done.”
The Dains team was led by Tom Pollard on Corporate Finance and Rebecca Jones on Tax. Storrar Cowdry were the lawyers acting for Shilling Mergers Limited.
